CGPro Network - Survey September 2022

What better way for us to support and learn from one another, than to share our experiences. We recently published our Mid-season review where we identified a few key themes from the 2022 AGM voting season so far, and we’d like to know how the 2022 AGM season has been for you. We will then share the results of this survey in our next update.

1. The perennial topic of executive remuneration continues to keep the AGM season busy and active. Has executive remuneration been a challenging area for you in 2022?

2. Which element of remuneration do you think has been the most challenging this proxy season?

3. Moving to directors, we’ve seen an increase in opposition to director elections. Overboarding and independence are some reasons. Are you, or have you, needed to address any of these matters in your organisation recently?

4. Surprisingly, we’ve seen an uptick in opposition to capital management resolutions. Do you have any views on the reason for this?

5. What parts of organising the resolutions submitted to shareholders and your AGM/GMs did you find the most onerous?

6. Did you experience any AGM resolutions with less than 80% approval? If so, what were they?

7. We recently published an article on climate related resolutions? Has your organisation proposed a climate related resolution?

8. Staying on the subject of climate change, do you get the sense of urgent Board focus and action?

9. With change coming on the horizon, through regulation and the UK Corporate Governance Code, what will be your primary focus over the coming 12- 24 months?

10. What’s been a highlight of your role in corporate governance this year?

11. If you had one wish for the corporate governance professional, what would it be?

12. As a CGPro Network, what topics/themes/perspectives are of most interest to you?

13. One lucky respondent will receive a £100 M&S voucher if completed by the close on 7th October 2022! If you would like to be in the draw, please provide your email address below.
